BUZZING – CREATOR TERMS & CONDITIONS
Operated by Stardustic LTD

1. Agreement to These Terms

By registering a Buzzing account, selecting “I Agree,” or otherwise uploading or transmitting any material through the service, you (“Creator,” “you,” or “your”) irrevocably accept and agree to be bound by these Terms & Conditions (the “T&C”) as of that moment (the “Effective Date”).

2. Definitions

  • “Account” — your user credentials on the Buzzing creator portal at buzzing.io/login.
  • “Content” — any photograph, video, audio recording, text, livestream, AI-generated material, metadata, or other work uploaded to or transmitted via Buzzing.
  • “Gross Revenue” — all amounts actually collected from end-users in exchange for access to your Buzzing profile, paid chats, media sales, tipping, and other monetized interactions, before any deduction other than (i) VAT, GST or comparable sales taxes remitted to the relevant authorities and (ii) chargebacks or refunds.
  • “Net Revenue” — Gross Revenue minus (i) chargebacks and refunds actually processed after the 21-day holding period, (ii) the Buzzing platform fee, and (iii) the Telegram platform fee.
  • “Referral Creator” — a creator onboarded to Buzzing through a unique referral link or code you have generated.
  • “Second-Layer Referral” — a creator brought onto Buzzing by one of your Referral Creators.

3. Eligibility & Verification

Age. You must be at least 18 years old and must have full legal capacity to enter into binding contracts.

KYC/AML. You agree to complete identity verification and sanctions screening at onboarding as well as before each withdrawal request. Stardustic LTD may retain third-party verification providers and may store the associated data to the extent permitted by our Privacy Policy.

Accuracy. All information you provide must be complete, truthful, and kept up to date. Failure to comply may result in suspension of your Account.

Account Security. Keeping your login credentials confidential is solely your responsibility, as is every activity occurring under your Account. Stardustic LTD accepts no liability for any loss or damage resulting from unauthorized access to your Account.

4. Services & License Grants

Buzzing is not Telegram. Buzzing is a monetization tool that operates on top of the Telegram platform, allowing creators to deliver and manage paid content through Telegram channels and chats.

Telegram Account Ownership

For the avoidance of doubt, any Telegram account, channel, bot, or chat that is created, used, or operated by or on behalf of Stardustic LTD in connection with this Agreement — including any such account associated with the Creator’s name, likeness, or digital persona — shall be and remain the sole and exclusive property of Stardustic LTD. The Creator shall hold no ownership interest in, and no rights of access to, control over, use of, or transfer of, any such Telegram account either during the term of this Agreement or at any time afterwards.

Hosting & Paywall. Buzzing hosts, paywalls, and delivers your Content to end-users on Telegram channels and chats that you authorize.

Platform License to Creator. We grant you a limited, revocable, non-exclusive license to access the Buzzing dashboard and related APIs solely for the purpose of legitimate creator monetization.

Creator License to Stardustic LTD.

  • Hosting License. For as long as your Account remains active, and for as long thereafter as we retain archival backups, you grant Stardustic LTD a worldwide, non-exclusive, royalty-free license to host, store, reproduce, distribute, publicly display, and perform your Content for end-users in accordance with your paywall settings.
  • Promotional License. While your Account remains active, you grant Stardustic LTD a worldwide, royalty-free license to use your name, image, likeness, trademarks, and “digital persona” (including AI-generated renderings) in Buzzing marketing, without the need for further approval.
  • Reservation of Rights. You retain full ownership of the underlying Content. Stardustic LTD retains all rights in the Buzzing platform, its compilations, and any anonymized or aggregated data.

5. Creator Earnings & Payment

Revenue Share. You are entitled to 80% of the Net Revenue generated by your profile (the “Creator Share”).

Holding Period. All Gross Revenue is subject to a 21-day clearance period to manage fraud risk and refund exposure.

Withdrawals. Following clearance, you may instruct Stardustic LTD to pay out available balances through either (i) bank wire transfer or (ii) cryptocurrency stablecoin (for example, USDC on the Ethereum network). Stardustic LTD may impose minimum withdrawal thresholds, network or gas fees, and banking charges, each disclosed in the dashboard at the time the withdrawal is requested.

Chargebacks & Refunds. Where an end-user successfully obtains a chargeback or refund after the corresponding funds have already been disbursed to you, Stardustic LTD will deduct the equivalent amount (plus any card-scheme penalties incurred) from your subsequent payout(s). You remain ultimately liable for any negative balance.

Taxes. Reporting and paying any income, payroll, VAT, or comparable taxes arising on the Creator Share is your sole responsibility. Stardustic LTD may withhold amounts where required by applicable law.

Statements. Your transaction history is accessible through the dashboard and will be deemed conclusive in the absence of manifest error.

6. Referral Program

Direct Referrals. For each Referral Creator, you will earn 5% of that creator’s Net Revenue for as long as they remain active, unless Stardustic LTD modifies the program (see Section 14).

Second-Layer Referrals. In addition, you will earn 5% of the referral earnings paid to your Direct Referrer — equivalent to approximately 0.25% of the Second-Layer Referral’s Net Revenue.

Cap & Plan Changes. Stardustic LTD may revise referral percentages, duration, or structure at any time without prior notice; your continued use of the platform constitutes acceptance. No further referral amounts accrue after termination of the program.

7. Content Standards & Prohibited Conduct

Illegal or Harmful Content.

You may not upload, post, or facilitate any Content that:

  • depicts or exploits minors (whether real, fictional, or simulated);
  • involves bestiality, necrophilia, sexual violence, trafficking, non-consensual acts, incest, or other unlawful or taboo material;
  • constitutes a deepfake or is otherwise manipulated without the documented consent of the persons depicted;
  • promotes hatred or violence against a protected class;
  • contains private personal data, revenge porn, or defamatory statements;
  • infringes third-party intellectual property rights or violates any applicable law.

Brand Guidelines & Link Titles. Your public links and channel names must comply with Buzzing’s branding guidelines (for example, “My Telegram”) and may not mislead users. Repeated violations may lead to suspension.

Co-Authored Content:

  • You are legally responsible for all Content you upload. You are permitted to upload Content that features persons other than yourself (“Co-Authored Content”).
  • You warrant that each individual featured in any Co-Authored Content you upload is either:
    • a Creator whom you have tagged using the tagging tool provided within Buzzing; or
    • an individual of at least 18 years of age, for whom you hold proof of identity and written, informed consent to share the Content on Buzzing.
  • You and each Co-Author will supply Stardustic LTD with any documents we may require in order to verify that the requirements of these T&C have been met.
  • If you, or any person appearing in Co-Authored Content, fail to provide the information we request, we may restrict or delete the Co-Authored Content or your Account, and/or withhold all or any portion of your Creator Earnings.
  • Stardustic LTD is not a party to any agreement that you may have in relation to the creation of Co-Authored Content, nor to any dispute arising from such Content. Any claim arising from Co-Authored Content shall be brought against the Creator(s) who uploaded or who appear in the Co-Authored Content. You will not bring any claim against Stardustic LTD, and you release Stardustic LTD from any such claim, arising from Co-Authored Content.
  • Any individual appearing in Co-Authored Content may withdraw their consent to appear in that Content at any time. Where consent is withdrawn, the Co-Authored Content may be deleted.

Brand Misrepresentation. You must not impersonate Stardustic LTD or Buzzing, falsely imply sponsorship, or create content, links, or channels that suggest official Buzzing status.

Community Compliance. You agree to comply at all times with Telegram’s Terms of Service.

8. Content Monitoring & Moderation Policy

8.1 Content Standards

All Content on Buzzing must comply with:

  • applicable local and international laws;
  • Telegram’s platform policies;
  • the requirements of payment service providers and other partners;
  • Stardustic LTD’s internal content standards.

Prohibited Content includes, without limitation: hate speech and hate symbols, racism, homophobia, transphobia, sexism, misogyny, misandry, antisemitism, xenophobia, ethnic hatred, extreme nationalism, cults, religion, minors, animals and bestiality, violence, rape, crime, threats, self-harm, suicide, weapons, firearms, terrorism, human trafficking, blackmail, scams, illegal drugs, substance abuse, non-consensual sexual themes (including abduction, asphyxiation, choking, chloroform, comatose or coma scenarios, CP, molestation, pedophilia), and extreme harmful fetishes (including incest, necrophilia, scatology, body fluids, vomit, blood, pain and injury such as caning, CBT, mutilation, medical content, feces, menstruation, cervix, cannibalism).

8.2 Automated Content Monitoring

Stardustic LTD operates automated systems and rules-based controls to monitor Content and platform activity, including:

  • keyword and pattern detection;
  • metadata and usage analysis;
  • monitoring of bot interactions and activity;
  • flagging of abnormal posting or engagement behavior.

These systems are designed to surface potentially non-compliant or high-risk Content for further review.

8.3 Manual Review & Moderation

Automated monitoring is complemented by manual moderation. Flagged Content and Accounts are reviewed by trained staff who assess their compliance with internal policies and external requirements.

Manual review may take place:

  • during creator onboarding;
  • when Content is flagged by automated systems;
  • when a report is received from users or partners;
  • in the context of payment or Account reviews.

8.4 Creator Controls & Accountability

As part of onboarding, Creators are required to accept the platform’s terms and Content guidelines. Repeated or serious breaches may result in:

  • removal of Content;
  • restriction or suspension of the Account;
  • permanent removal from the platform.

8.5 Reporting & Enforcement

Stardustic LTD maintains internal processes to:

  • document moderation decisions and actions;
  • escalate serious violations;
  • cooperate with Telegram, payment processors, and public authorities where legally required.

8.6 Ongoing Review & Updates

The Content moderation processes are reviewed on a periodic basis and updated to address evolving risks, regulatory guidance, and platform requirements.

9. Intellectual-Property Claims & DMCA

Stardustic LTD responds to valid takedown notices and may remove Content or disable Accounts upon receiving a lawful intellectual-property infringement claim. Accounts associated with repeat infringement will be terminated.

10. Confidentiality

You must treat as strictly confidential any non-public information relating to Stardustic LTD’s technology, pricing, or operations, including (without limitation) any AI or automation systems that power chats on Buzzing.

11. Term, Termination & Suspension

Term. This Agreement begins on the Effective Date and continues until terminated.

Termination by the Creator. You may terminate at any time by sending an email to hello@buzzing.io. Termination becomes effective once Stardustic LTD has confirmed receipt or upon the expiry of five (5) business days, whichever occurs first.

Suspension or Termination by Stardustic LTD. Stardustic LTD may, at its sole discretion and without prior notice, suspend payouts, remove Content, or terminate your Account for any reason — including suspected breach, fraud, or reputational risk.

Post-Termination Rights.

  • Earnings. Cleared balances will be paid out in the next scheduled payout cycle. Balances still subject to ongoing disputes or potential chargebacks will be withheld until the matter is resolved.
  • Content Retention. Stardustic LTD may keep server copies and archival backups for security, compliance, or evidentiary purposes unless you explicitly request permanent deletion in writing.

Survival. Sections 5, 6, 7, 8, 9, 10, 12, 13, and 15–19 survive any termination of this Agreement.

12. Modifications to These T&C

Stardustic LTD may amend these T&C (including revenue-related provisions) at any time without prior notice. Revised terms become effective upon publication on the Buzzing creator portal at buzzing.io/login, and your continued use of the platform constitutes acceptance. Should you disagree, your sole remedy is to terminate your Account in accordance with Section 11.2.

13. Warranties & Disclaimers

Creator Warranty. You represent and warrant that: (i) you own, or otherwise hold all necessary rights in, the Content; (ii) every person depicted is an adult who has provided written consent; and (iii) uploading and monetizing the Content through Buzzing does not infringe any law or any third-party right.

Platform Disclaimer. THE PLATFORM IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. STARDUSTIC LTD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.

14. Limitation of Liability

To the maximum extent permitted by applicable law, neither Stardustic LTD nor any of its affiliates, officers, or employees shall be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, even where advised of the possibility of such damages. Stardustic LTD’s aggregate liability under these T&C shall in any event be limited to the total Creator Share actually paid to you during the six-month period immediately preceding the claim.

15. Indemnification

You shall defend, indemnify, and hold harmless Stardustic LTD and its affiliates from and against any third-party claim arising out of (i) your Content, (ii) your breach of these T&C, or (iii) your violation of any applicable law.

16. Governing Law & Dispute Resolution

Governing Law. These T&C are governed by the laws of Cyprus, to the exclusion of its conflict-of-laws rules.

Arbitration. Any dispute shall be finally settled by binding arbitration under the Rules of the Cyprus Arbitration & Mediation Centre. The seat of arbitration shall be Limassol, and the language of the proceedings shall be English. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

Class-Action Waiver. You and Stardustic LTD each waive any right to pursue claims on a class, collective, or representative basis.

Injunctive Relief. Nothing in this Section prevents Stardustic LTD from seeking equitable relief in any competent court in relation to intellectual-property or confidentiality breaches.

17. Relationship of the Parties

The parties act as independent contractors. Nothing in these T&C creates a partnership, joint venture, franchise, or employment relationship between them.

18. Assignment

You may not assign or transfer your rights or obligations under these T&C without the prior written consent of Stardustic LTD. Stardustic LTD may freely assign these T&C.

19. Notices

Notices to Stardustic LTD must be sent to hello@buzzing.io, with a hard copy addressed to Stardustic LTD’s registered office. Stardustic LTD may deliver notices to you by email or by dashboard alert.

20. Entire Agreement; Severability; Waiver

These T&C (together with any policies linked or incorporated by reference) represent the entire agreement between the parties and supersede all prior understandings relating to the same subject matter. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Any failure by Stardustic LTD to enforce a given provision shall not constitute a waiver of that provision.
